These Terms & Conditions ("Terms") govern your access to and use of the DealZara website, mobile application, and related services (together, the "Platform"), operated by CloudEye Technologies ("DealZara", "we", "us", "our").

1. ACCEPTANCE OF TERMS
By creating an account, listing a business, browsing offers, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform. If you are using the Platform on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

2. DEFINITIONS
• "Business Owner" means a user who lists a shop, stall, or service on the Platform to advertise offers.
• "Customer" means a user who browses, claims, or redeems offers on the Platform.
• "Collab Partner" means a user enrolled in the DealZara Collab Partner Program to refer and onboard Business Owners.
• "Ad" or "Campaign" means an advertisement, offer, or listing created and published through the Platform, including those generated with the help of AI tools.
• "Credits" means the in-app reward units earned by Customers through the Platform's rewards program.

3. ELIGIBILITY & ACCOUNTS
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. Business Owners must have the legal right to operate and advertise the business they list.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to provide accurate, current information when registering, including business name, location, and contact details.
• DealZara may request verification documents (such as a shop registration, GST number, or ID proof) to confirm a Business Owner's identity before a Campaign goes live.
• One account per business or individual, unless otherwise agreed in writing.

4. DESCRIPTION OF SERVICES
DealZara is a hyperlocal advertising platform that helps Business Owners create and publish local Campaigns — including AI-assisted ad generation — targeted to Customers within a defined radius of the business. Customers may browse, claim, and redeem offers, and earn Credits for participating. DealZara acts as a technology platform connecting Business Owners and Customers. We are not a party to, and do not guarantee, any transaction, sale, service, or offer redemption that takes place between a Business Owner and a Customer.

5. TERMS FOR BUSINESS OWNERS
By listing a business and publishing a Campaign, you agree that:
• You are solely responsible for the accuracy, legality, and honesty of any offer, price, discount, or claim published in your Campaign, including content generated with AI assistance.
• Offers must be honoured as advertised for any Customer who presents a valid claim within the stated validity period.
• Images, descriptions, and offer details you upload must relate to your actual business and must not infringe any third party's intellectual property.
• You will not use the Platform to advertise prohibited goods or services.
• DealZara may review, edit for formatting, or decline to publish any Campaign that violates these Terms, without liability to you.
• Leads (calls, WhatsApp messages, or visits) generated through the Platform are provided as-is; DealZara does not guarantee any specific number of leads, views, or conversions.

6. AI-GENERATED CONTENT
DealZara uses artificial intelligence tools to help generate ad copy, creative suggestions, targeting radius, and language translations from the photo and offer description you provide ("AI Output").
• AI Output is a draft, not a final publication. You are shown the AI Output and must review and approve it before it goes live; you may edit it at any time.
• Once you approve a Campaign, you take full responsibility for its content, including any AI-generated text, translation, or imagery, as if you had written it yourself.
• AI Output may occasionally contain inaccuracies, awkward translations, or errors. DealZara does not guarantee that AI Output will be error-free, and encourages you to review all AI-generated content carefully, especially translations into regional languages, before approving.
• DealZara may use anonymised or aggregated data from Campaigns to improve its AI models, in accordance with our Privacy Policy.

7. TERMS FOR CUSTOMERS
• Offers displayed on the Platform are provided by independent Business Owners; DealZara does not manufacture, sell, or fulfil the underlying goods or services.
• Claiming an offer through the Platform does not guarantee stock, availability, or a business's ability to honour it at the time of your visit — please confirm details with the business directly for time-sensitive offers.
• Any dispute regarding the quality, delivery, or fulfilment of a product or service is between you and the Business Owner. DealZara may assist with mediation but is not responsible for resolving such disputes.
• You agree not to misuse claim codes, offers, or the rewards system, including by creating multiple accounts to claim the same offer repeatedly.

8. REWARDS, CREDITS & WALLET
• Credits are earned by completing specified actions (such as visiting a business or redeeming an offer) as defined within the Platform from time to time.
• Credits have no cash value until redeemed through the Platform's wallet feature, and are not transferable to another person or account except where the Platform explicitly allows it.
• DealZara may change the Credit-earning rate, redemption options, or expiry rules at its discretion, with reasonable notice provided in-app.
• DealZara reserves the right to withhold or reverse Credits obtained through fraudulent activity, fake visits, or abuse of the rewards system.

9. COLLAB PARTNER PROGRAM
The DealZara Collab Partner Program allows individuals to refer and onboard Business Owners in an assigned territory in exchange for commission. Participation is subject to a separate Collab Partner Agreement, which includes the following principles:
• Territory: Exclusive pincode/area assignment is granted on a first-claimed basis and may be subject to performance conditions defined in the Collab Partner Agreement.
• Commission: Trailing commission (up to the percentage advertised at the time of enrolment) is paid monthly on eligible ad spend by onboarded businesses, subject to those businesses remaining active and in good standing.
• No employment relationship: Collab Partners are independent contractors, not employees, agents, or legal representatives of DealZara.
• Compliance: Collab Partners must represent DealZara's services accurately and must not make promises, guarantees, or pricing commitments on DealZara's behalf beyond what is officially published.
• DealZara reserves the right to reassign a territory or terminate a Collab Partner's participation for inactivity, misrepresentation, or breach of the Collab Partner Agreement.
Full commission terms, payout schedules, and territory rules are set out in the Collab Partner Agreement provided at sign-up, which forms part of these Terms for enrolled partners.

10. FREE TRIALS, PRICING & PAYMENTS
• Free promotional periods (such as a free trial or free advertising campaign) are offered for the duration stated at the time of sign-up, are subject to change, and may be limited to new Business Owners or specific campaigns as communicated on the Platform.
• No payment method is required to start a free promotional Campaign unless explicitly stated otherwise at sign-up.
• Once a free period ends, continued use of paid features will be billed at the rates displayed on the Platform at that time. You will be notified before any charge applies to a previously free account.
• You may pause, downgrade, or cancel a paid Campaign at any time through your dashboard; charges already incurred for the current billing period are non-refundable except where required by law.
• All fees are exclusive of applicable taxes (such as GST) unless stated otherwise.

11. USER CONTENT & INTELLECTUAL PROPERTY
• You retain ownership of the photos, descriptions, and other content you upload ("User Content").
• By uploading User Content, you grant DealZara a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, translate, and adapt that content (including via AI tools) solely for the purpose of operating and promoting the Platform and your Campaigns.
• You confirm that you own or have the rights to any User Content you upload, and that it does not infringe any third party's copyright, trademark, or other rights.
• The DealZara name, logo, app, and underlying technology are the property of CloudEye Technologies and may not be used without written permission.

12. PROHIBITED CONDUCT
You agree not to use the Platform to:
• Advertise illegal goods or services, counterfeit products, or items requiring a licence you do not hold;
• Post false, misleading, or deceptive offers, pricing, or claims;
• Upload content that is defamatory, obscene, hateful, or infringes another party's rights;
• Attempt to manipulate the rewards system, reviews, or Campaign metrics through fraudulent activity;
• Reverse-engineer, scrape, or interfere with the Platform's software, security, or AI systems;
• Impersonate another business, individual, or DealZara representative.
Violation of this section may result in Campaign removal, account suspension, or termination, at DealZara's discretion.

13. THIRD-PARTY SERVICES & LINKS
The Platform may link to or integrate with third-party services (such as WhatsApp, maps, or payment gateways) to facilitate calls, messages, directions, or payments. DealZara is not responsible for the content, policies, or practices of these third-party services, which are governed by their own terms.

14. PRIVACY
Our collection and use of personal information is described in our Privacy Policy (https://dealzara.in/privacy-policy), which forms part of these Terms. By using the Platform, you consent to the collection and processing of your data as described there, including approximate location data used to show you nearby offers.

15. DISCLAIMERS
The Platform, including all AI-generated content, is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. DealZara does not guarantee uninterrupted or error-free operation of the Platform, or that any Campaign will result in a specific number of views, leads, or sales.

16. LIMITATION OF LIABILITY & ROLE-SPECIFIC EXCLUSIONS
To the maximum extent permitted by law, DealZara and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of the Platform. DealZara's total liability arising out of or relating to these Terms shall not exceed the amount, if any, paid by you to DealZara for the Platform in the three (3) months preceding the claim.

17. INDEMNIFICATION
You agree to indemnify and hold harmless DealZara and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, your Campaigns, or your violation of these Terms or any applicable law.

18. SUSPENSION & TERMINATION
DealZara may suspend or terminate your account or any Campaign, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or the Platform. You may close your account at any time by contacting us. Some provisions of these Terms (including intellectual property, liability, and indemnification) will survive termination.

19. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes in our services or legal requirements. We will notify you of material changes via the app or email, and continued use of the Platform after such changes constitutes acceptance of the updated Terms.

20. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation, and failing that, shall be subject to the exclusive jurisdiction of the courts of Visakhapatnam, Andhra Pradesh, India.
